Integrity is the basic duty for an enterprise. TMC emphasizes greatly on integrity and ethics.
To encourage and protect fraud-report behaviors, the Company sets up the Ethical Management Guideline, Code of Ethical Conduct, Fraud-Reporting System and Regulations by referring to the "Ethical Corporate Management Best Practice Principles for TWSE/GTWM Listed Companies ", "Procedures for Ethical Management and Guidelines for Conduct" and "Guidelines for the Adoption of Codes of Ethical Conduct for TWSE/TPEx Listed Companies " set by regulatory authority, which are published on MOPS and the Corporate Regulations under the section of Investors and Corporate Governance on TMC official website.

The Company follows the integrity principle to conduct business activities in a fair and transparent manner.
Moreover, TMC sets the specific systems and regulations of reporting illegal (including corruption) and unethical behaviors, as explained below:

  • Set up reporting mailbox and hotline, and provide contact channels for stakeholders on the website of the Company.
  • Assign dedicated personnel to handle the mail or information of fraud-reporting.
  • Record and reserve all the documents about fraud-reporting information, investigation process, investigation results.
  • Protection and rewarding to reporters.

Fraud-reporting targets and contents are listed as below:

Fraud-reporting items:

  • Improper occupation or misuse of company assets.
  • Illegal possession or unauthorized disposal of company properties.
  • Company or employees suffered from the loss generated from forged documents, wrong information and decision-making misleading.
  • Leakage of internal business secrets and customer related information.
  • Taking bribes or making corruption on authorized/ supervised business to get illegal benefit directly or indirectly for himself/ herself or for other people themselves.
  • Other behaviors against personal and business reputation.

The target of fraud-reporting shall be all related personnel inside or outside the Company or subsidiaries.
